ABOUT THE FUND MANAGER

Andrew M. O'Shea, founder and President of Ventry Harbor Asset Management, LLC , serves as the Fund's investment manager. Mr. O'Shea is a Certified Public Accountant (CPA) and has passed the written examination requirements to be a Chartered Life Underwriter (CLU) and a Fellow, Life Management Institute (FLMI). Mr. O'Shea recently served in senior operating and financial management positions for portfolio companies in the aviation industry for private equity investors. Mr. O'Shea also previously served as Chief Financial Officer of Moscow CableCom Corp (formerly NASDAQ: MOCC) which built and operated a "last mile" access network for a cable television and Internet access company in Moscow, Russia. He also was the Chief Financial Officer of The J.M. Ney Company, a Connecticut-based manufacturer of precious metals-based parts and materials that had been a subsidiary of Moscow CableCom Corp until the sale of its operations. Mr. O'Shea was also in senior financial management positions at WorldCrisa Inc., a distributor of tabletop products for the hotel and hospitality industry; Buxton Co., a manufacturer and distributor of personal leather goods; Standard Builders, a construction company and North American Holding Corp, a publicly traded diversified financial services company which, among other things, operated a broker-dealer with offices located primarily on the east coast of the U.S. Mr. O'Shea began his professional career at the Hartford, Connecticut office of Price Waterhouse (a predecessor firm to PricewaterhouseCoopers) and was involved in the audits of financial services companies including insurance companies, the broker-dealer and investment management subsidiaries of life insurance companies, insurance agencies, and specialized lending institutions. Mr. O'Shea holds a Bachelor of Science degree in accounting which he received with highest honors from Western New England College, Springfield, Massachusetts. He is a member of the American Institute of Certified Public Accountants and a corporator of the Springfield Museums.
